On September 27, 2004 shareholders of USA REIT Fund LLC voted to wind-up the affairs of the company. As a result a liquidating distribution was paid to shareholders of record on October 29, 2004 and a final distribution was paid on May 5, 2005.

Subject to approval to de-register from the Securities Exchange Commission the fund will be dissolved.
